ARTICLE I - Name
Section 1
The name of this orgnization shall be the East Las Vegas/Henderson Mothers of Multiples Club; hereinafter referred to as the club.
Section 2
The East Las Vegas/Henderson Mothers of Multiples Club shall be a member in good standing of the National Organization of the Mothers of Twins Club.
Section 3
The East Las Vegas/Henderson Mothers of Multiples Club shall be a non profit organization.
Section 4
The East Las Vegas/Henderson Mothers of Multiples Club was founded in January 1992 (under the orginal name: East Las Vegas Mothers of Twin Club).
ARTICLE II - Purpose
Section 1
The purpose of this club is to provide support and knowledge to parents or guardians of multiple children.
Section 2
The purpose of this club is to cooperate and participate with the National Organization of Mothers of Twins Club.
ARTICLE III - Membership
Section 1 - Full Membership
A. Any parent or guardian of multiple birth children, or any mother expecting multiple birth children shall be eligible for full membership and shall become a full member upon completion of the membership application and payment of the annual dues.
B. Full members in good stanging shall receive all rights of the club including the privilege of voting.
Section 2 - Associate Membership
A. An Associate Member shall be any individual interested in the club who is not a parent or guardian of multiple birth children with the exception of members of Las Vegas Mothers of Twins club.
B. Assocate Members shall receive the monthly newsletter and may attend club functions; however, a fee be charged to attend functions subsidized by the club.
C. Associate Member cannot vote, hold and office, chair a committee or hold a titled position.
D. Associate Members shall become associate members upon completion of the membership application and payment of annual dues.
Section 3 - Hardship Membership
A. A hardship membership may be given to a parent or guardian of multiple birth children for the period of one year upon unanimous approval of the Executive Committee, voted upon in a closed meeting.
B. Hardship members shall become full members upon completion of the membership application and unanimous approval of the Executive Committee.
C. Hardship member will hereinafter be called full members and have all rights associated with full members.
Section 4 - Honorary Membership
A. An Honorary membership may be given to an individual for the period of one year upon unanimous approval of the Executive Committee and majority approval of a quorum of general membership.
B. Honorary members shall become honorary members upon completion of the membership application, unanimous approval of the Executive Committee and Quorum.
C. Honorary members shall receive the monthly newsletter and mya attend club functions.
D. Honorary members cannot vote, hold and office, chair a committee or hold a titled positon.
Section 5 - Good Standing
A. Members of good standing shall be considered those full members whose membership form is competed and current dues are paid.
Section 6 - Duties Of Full Members
A. Full members should attend meetings and club functions when possible.
B. Full members should hold an office, be an active member on a committee or hold a titled position in the club.
C. Full members should participate in club fund raisers when possible.
Section 7 - Bylaws and Procedures
A. All members shall accept the Bylaws, Standing Rules and Official Procedures of the Club.
ARTICLE IV - Dues
Section 1 - Dues Dates, Forfeiture, Reinstatement
A. The fiscal year is August 1 through July 31.
B. Dues are due during the month of July for the following year.
C. Dues not received by October 1 shall result in forfeiture of membership.
D. A member applying for reinstatement within the same year after forfeiting memebership shall pay the full amount of dues for the same type of membership previously held.
Section 2 - Annual Dues
A. Annual dues of a full member shall be stated in the Standing Rules of the Club.
B. Annual dues of an associate member shall be stated in the Standing Rules of the Club.
C. Annual dues of a hardship member shall be nothing per year.
D. Annual dues of an honorary member shall be nothing per year.
E. New members joining after August 31 shall pay a prorated amount as determined by the Executive Committee.
Section 3 - National Dues
A. National dues shall be paid annually for all full members and hardship members in good standing by August 31.
B. National dues for new members shall be sent monthly to National MOTC through March 31.
ARTICLE V - Officers
Section 1 - Officers
A. The elected officers of the club shall be President, 1st Vice President, Secretary, Treasurer and a Nominating Chairperson. If desired a 2nd and 3rd Vice President may be elected.
B. The appointed officers shall be past President as Advisor, and a Parliamentarian, both appointed with approval of the elected officers.
Section 2 - Term Of Office
A. The officers shall be elected by ballot at the Jujne General Meeting to serve a term of one year. Their term of office shall begin upon adjourment of the last General Meeting or board meeting held in the month of July.
B. Officers cannot serve in any one position for more than two consecutive years.
Section 3 - Qualifications
A. Candidates for an elected office shall be a member in good standing of our club or another Mothers of Twins Club for a least one year.
B. Candidates for an elected office shall have served on the Board of Directors the year immediately preceding three years.
C. Candidates for the office of the President shall have served on the Board of Directors the year immediately preceding election.
D. The above qualifications can be suspended in order that all Executive Committee positions be filed with current members. The suspension of qualifications terminates with the voting of officers in June of the current year.
Section 4 - Vacancies
A. Vacancy in the office of the President shall be filled by the Vice President.
B. Vacancy in any other office shall be filled by vote of the Executive Committee as soon as feasible.
C. Should the remaining term of office vacated exceed one half the full term of office, it shall be considered a full term and the vacancy shall be filled by election.
Section 5 - Duties Of Officers
A. Detailed duties and procedures shall be outlined in the Official Procedures.
B. President: Official representative of the club on all levels and has general supervision of the affairs of the club; shall preside at all meetings of the club, Board of Directors and Executive Committee; shal oversee formulation of committees and titled positions except those otherwise provided for in these Bylaws or the order creating same, and shall be ex-official member of all committees except the nominating committee; shall sign documents and checks as required.
C. 1st, 2nd & 3rd Vice Presidents: In the absence or inability of the President to serve, the 1st Vice President shall assume the duties of the President; shall be officer in charge of the membership committee and be responsible for the maintenance and development of the policies and practices connected with it; shall sign documents and checks as required.
D. Secretary: Shall maintain a record of the proceedings of all meetings of the club, executive committee and board of directors; shall conduct the correspondence of the club as requested by President; shall have available at all meetings a copy of the By Laws of the current fiscal year.
E. Treasurer: Shall be responsible for collection and disbursement of all funds of the club in accordance with regulations established by the Board of Directors and set forth in the Standing Rules; shall be the officer in charge of all financial committees; shall make monthly written reports to be published in the newsletter and an annual report at the end of the year.
F. Nominating Chairperson: Shall be the officer in charge of the nominating committee and oversees preparation of slate; shall be responsible for the preparation of the qualification lists.
G. Advisor: Shall, when consulted, advise any member of the Board of Directors, committees or general members; shall be in charge of all special committees and supervise installation preparations; shall supervise voting.
H. Parliamentarian: Shall counsel the memebers, Board of Directors and committees concerning proper
parliamentary procedure; receive and present changes or additions to the By Laws, Standing Rules and Resolutions; shall be officer in charge of By Laws, Rules and Procedures committees.
ARTICLE VI - Executive Committee and Board of Directors
Section 1 - Executive Committee
A. Shall consist of the elected and appointed officers. Voting members shall be President, 1st, 2nd & 3rd Vice Presidents, Secretary, Treasurer and Nominating Chairperson. The Advisor and Parliamentarian shall serve on the Executive Committe in an advisory capacity.
B. Shall have power and supervision of the affairs of the club, shall examine and present the budget and serve in an advisory capacity of the President.
C. Shall meet as necessary and/or upon call of the President and/or upon written request of two members of the committee.
D. Three members shall constitute a quorum.
E. Voting by mail or phone shall be permitted when necessary.
F. Executive Committee meetings shall be open to the general mismbership except when voting on a hardship membership.
Section 2 - Board of Directors
A. Shall consist of the Executive Committee and chairpersons of all standing committees.
B. Shall have general supervision of the affairs of the club except that of modifying action of the Executive Committee and the club.
C. Shall hold at least one meeting per year; immediately following elections.
D. Board of Directors meetings shall be open to the general membership.
E. Appointed Officers; Appointed Chairpersons of Standing Committees and Committees shall be appointed yearly, not to exceed five years.
ARTICLE VII - Standing Committees and Duties
Section 1 - Standing Committees
A. Standing committees shall be membership, Nominating, Program, Socal and Ways & Means and shall each have chairwomen.
Section 2 - Duties of Committees
A. Audit: Conducts annual audit of financial records.
B. Cope/Outreach: Sets up programs to meet the needs of the members.
C. Library / Historian: Maintains library and club scrap book.
D. Hospitality / Refreshments: Responsible for greeting members and obtaining volunteers for bringing refreshments to the meetings.
E. Membership: Maintains and develops membership.
F. Nation Rep: Serves as a liaison with National; gives membership monthly reports.
G. Newsletter: Responsible for getting information for, typing, copying, and mailing the monthly newsletter.
H. Nominating: Receives nominations for the following year's officers and determines if they will accept the nomination; if so, shall enter names on ballot.
I. Program: Responsible for the club's speakers and programs.
J. Publicity: Responsible for obtaining media coverage for club activities.
K. Secret Pal: Responsible for the secret pal program.
L. Social: Responsible for organizing the club's social events.
M. Sunshine: Responsible for sending cards to members.
N. Telephone: Responsible for phoning members when necessary.
O. Ways & Means: Responsible for raising money for the club.
P. Rescue: Responsible for coordinating dinner for a member in need.
Section 3 - Detailed Duties
A. Detailed duties shall be outlined in the Procedures Manual for each committee.
ARTICLE VIII - Nominations and Elections
Section 1 - Nominations
A. Nominating Committee shall consist of a chairperson and two committee members elected by the voting body no later than February.
B. Nominating Committee members should only be considered a nominee for an office when all other possible qualified individuals have been considered.
C. Nomination forms shall be published in the April and May newsletters. Completed forms shall be given to the Nominating Committee as soon as possible.
D. Nominating Committee shall submit their slate of candidates to be published in the June newsletter.
E. Additional nominations may be made from the floor providing qualifications are met per Article V, Section3.
Section 2 - Elections
A. Advisor oversees all elections. If advisor is unavailable, the President shall appoint two individuals to oversee election.
B. Election shall be by ballot conducted at the June General Meeting.
C. Majority vote of eligible members present, including absentee ballots, shall elect - provided a quorum is present.
D. If majority is not obtained on the first ballot, plurality shall elect on the second ballot.
E. Tie vote shall be re-balloted; a second tie shall be decided by lot.
F. New members accepted at the June meeting shall not be eligible to vote at the June election.
Section 3 - Installation
A. Newly elected and appointed officers shall assume duties at the August General Meeting.
B. July and August board meetings shall be attended by both the new and previous Executive Committee.
ARTICLE IX - Resignations and Removal
Section 1 - Resignation
A. In the event a member of the Board of Directors or a committee is unable to fulfill/continue duties, the President shall receive a letter of resignation.
B. Vacancies shall be filled according to Article V, Section 4
Section 2 - Removal
A. In the event of misconduct or failure to perform duties, a member of the Board of Directors or a committee may be removed.
B. Notice shall be sent requestion and explanation.
C. Second notice will be sent if no reply is received to first notice.
D. Removal shall be accrding to Executive Committee procedures
E. Vacancies shall be filled according to Article V, Section 4.
ARTICLE X - Meetings
Section 1 - Day and Time
A. A regular meeting of the club shall be held monthly, unless the club orders otherwise in advance.
B. The regular meeting in June shall be known as the Annual Meeting and shall be for the purpose of electing officers, and conducting any other business that may arise.
C. Children shall not be premitted at the Club's General Meetings; with the exception of children ages 0-6 months.
Section 2 - Vote
A. All full members in good standing shall have one vote.
Section 3 - Quorum
A. One fourth of the membership shall constitute a quorum.
Section 4 - Special Meetings
A. A special meeting may be held upon the call of the President or on the written request of any quorum of the club. The purpose of the meeting shall be set forth in the notice.
B. No notice of a regular meeting shall be required. Notice of a special meeting shall be given at least fourteen (14) days in advance.
ARTICLE XI - Finances
A. An Executive Committee quorum must approve any club expenditure over $25.00
ARTICLE XII - Parliamentary Authority
A. The rules contained in the Modern Edition of Robert's Rule of Order shall govern the club in all cases where they are not inconsistent with these By Laws and any special rules of order the club may adopt.
ARTICLE XIII - Amendments
A. These By Laws may be amended at any regular or special meeting of the club by a two-third vote, provided that previous notice of the amendment was given to all members at least fifteen (15) days in advance.
